About This Agreement

This Seller Agreement outlines the rules, obligations, and legal responsibilities between OlaBey ("we", "us", "our") and you ("Seller", "Shop Owner", "you", "your") when creating and operating a shop on OlaBey.com ("Platform").

By registering as a Seller or continuing to use the Platform, you agree to this Agreement.

DEFINITIONS

"Platform"

ShopLanka.com, mobile applications, services, systems, and tools provided by OlaBey.

"Seller"

Any individual or business entity creating a shop or offering products/services on the Platform.

"Customer"

A user making a purchase, booking, or availing services through the Platform.

"Products/Services"

Physical items, digital products, bookings, hotel reservations, services, rentals, and any offerings listed by Sellers.

"Commission"

Fees deducted from each transaction by OlaBey before payout to the Seller.

ELIGIBILITY

To become a Seller on OlaBey, you must meet the following requirements:

Age Requirement

Be at least 18 years old or the age of majority in your jurisdiction.

Accurate Information

Provide accurate and complete business and identity information during registration.

Legal Rights

Have the legal right to sell listed items or provide the services offered on the Platform.

Agreement Acceptance

Accept this Seller Agreement, the Terms & Conditions, and the Privacy Policy of OlaBey.

ShopLanka reserves the right to verify eligibility and may reject applications that do not meet these requirements.

SELLER ACCOUNT & KYC

Seller Must:

KYC Verification

Provide correct KYC/verification details including government-issued identification

Business Information

Maintain updated business name, address, and contact information

Billing Information

Provide accurate billing details for commission and fee calculations

Payout Information

Submit valid bank account details for receiving payouts

Additional Documentation

We may request additional documents for:

Identity Verification

Government-issued ID, passport, or driver's license

Business Verification

Business registration certificates, tax identification numbers

High-Value Transactions

Additional verification for large transactions

Fraud Checks

Documents to verify legitimacy and prevent fraud

Failure to Comply

Failure to provide requested documentation or inaccurate information may result in:

  • Account suspension or termination
  • Holding of payouts
  • Removal of listings
  • Legal action if fraudulent activity is suspected

SELLER RESPONSIBILITIES

Sellers agree to the following responsibilities when operating on OlaBey:

4.1 Accuracy of Listings

Upload correct and complete product/service information including specifications, features, and limitations

Clearly mention inclusions, exclusions, terms, and conditions for bookings and services

Update availability status promptly (especially for bookings, rentals, and time-sensitive services)

Use high-quality, accurate images that represent the actual product/service

4.2 Order Fulfillment

Confirm orders promptly (within 24 hours for standard products, 2 hours for time-sensitive services)

Deliver products/services within the stated timelines

Provide high-quality and legitimate items that match the listing description

Ensure proper packaging to prevent damage during transit

4.3 Communication

Respond to customer inquiries within 12 hours during business days

Handle disputes respectfully and professionally

Provide order updates and tracking information when available

Maintain professional communication standards in all interactions

4.4 Compliance

Sellers must comply with all applicable laws and regulations including:

Local Laws

All applicable national, provincial, and local laws

Licensing Requirements

Required licenses for hotels, rentals, professional services

Consumer Protection

Consumer rights and protection laws

Tax Regulations

Tax collection, reporting, and remittance requirements

PROHIBITED ITEMS

Selling or listing the following items is strictly prohibited on OlaBey. Violation may result in immediate account termination and legal action.

Illegal Items

  • Illegal drugs, narcotics, and controlled substances
  • Weapons, firearms, ammunition, and explosives
  • Restricted chemicals and hazardous materials
  • Stolen goods or items obtained illegally

Counterfeit & Pirated Items

  • Counterfeit branded items and fake products
  • Pirated digital products, software, or media
  • Unauthorized replicas or knock-offs
  • Items that infringe intellectual property rights

Restricted Content & Services

  • Adult content, pornography, or sexually explicit material
  • Unlicensed financial services or investment schemes
  • Gambling services, lottery tickets, or betting services
  • Animals, wildlife products, or endangered species
  • Human remains or body parts

Dangerous & Hazardous Items

  • Recalled items or products banned by government agencies
  • Tobacco products, e-cigarettes, and vaping devices (without proper license)
  • Alcohol and alcoholic beverages (without proper license)
  • Medical devices, prescription drugs, or unverified health products

Platform Actions

ShopLanka reserves the right to:

  • Remove prohibited listings without prior notice
  • Suspend or terminate seller accounts
  • Hold associated funds for investigation
  • Report illegal activities to law enforcement authorities
  • Take legal action against violators

PRICING & TAXES

Seller Responsibilities

Sellers are solely responsible for:

Setting Prices

Determining competitive and fair pricing for products/services

Managing Discounts

Creating and managing promotional offers, sales, and discounts

Tax Compliance

Including applicable taxes in pricing and complying with tax regulations

Invoice Issuance

Issuing invoices to customers when legally required

Tax Documentation

ShopLanka may request tax documentation from Sellers when legally necessary, including:

  • Tax identification numbers (TIN)
  • Business registration certificates
  • Proof of tax registration
  • Tax clearance certificates
  • Other documents required by tax authorities

Pricing Guidelines

Prices must include all costs (product, shipping, handling, taxes)

Clear disclosure of any additional fees or charges

Accurate currency representation (Sri Lankan Rupees - LKR)

No hidden costs or misleading pricing practices

PAYMENTS & COMMISSIONS

7.1 Payment Processing

Payments made by customers are collected by OlaBey through secure payment gateways. All transactions are encrypted and processed in compliance with PCI DSS standards.

ShopLanka acts as the payment intermediary between customers and sellers, ensuring secure transaction processing.

7.2 Commission Structure

Standard Commission

5-15%

Commission rates vary based on:

  • Product category
  • Seller subscription plan
  • Promotional periods
  • Sales volume tiers

Commission Deduction

Commissions are automatically deducted:

  • Before payout calculation
  • From each successful transaction
  • Based on final sale amount
  • Excluding shipping charges (unless specified)

7.3 Payouts

Payout Schedule

Daily Payouts

Available for premium sellers with consistent performance

Weekly Payouts

Standard schedule for most sellers (every Tuesday)

Monthly Payouts

For new sellers or low-volume shops (end of month)

Payout Process

7.4 Refunds & Chargebacks

Refund Requests

If a customer requests a refund or chargeback:

  1. ShopLanka may temporarily hold related payouts
  2. Seller must provide proof of delivery/service completion
  3. If refund is approved, amount deducted from future payouts
  4. Seller responsible for return shipping costs (if applicable)

Chargeback Protection

To prevent chargebacks:

Provide clear product images
Detailed product descriptions
Use trackable shipping methods
Maintain good communication

CUSTOMER DISPUTES

Dispute Resolution Process

Direct Resolution

Sellers must first attempt to resolve disputes directly with customers through polite and professional communication.

Evidence Collection

Provide clear evidence when required, including order details, communication records, delivery proof, and product/service evidence.

Fair Resolution

Accept fair and reasonable resolutions for service failures, including partial refunds, replacements, or discounts on future purchases.

Platform Intervention

ShopLanka may intervene in disputes when:

  • Direct resolution attempts fail after 48 hours
  • Either party requests platform assistance
  • Legal or policy violations are suspected
  • High-value transactions are involved

Final Decision: OlaBey's decision in dispute resolution is final and binding on both parties.

CONTENT & INTELLECTUAL PROPERTY

Seller Obligations

Sellers must ensure that all content uploaded to OlaBey complies with the following:

Original or Licensed Content

All listings, images, descriptions, and other content must be original or properly licensed for use on the platform.

No Copyright Infringement

Do not upload copyrighted material without explicit permission from the copyright holder.

No Misleading Content

Avoid false, deceptive, or misleading content that could confuse or mislead customers.

Platform License

Sellers grant OlaBey a limited, worldwide, non-exclusive, royalty-free license to:

  • Display shop content on the platform and associated applications
  • Promote products through marketing channels and partner networks
  • Use images and descriptions for promotional and marketing purposes
  • Adapt content for different device formats and display requirements

Note: This license terminates when content is removed from the platform or the seller account is closed.

Intellectual Property Protection

Trademark Compliance

Respect registered trademarks and brand names in listings

Image Rights

Only use images you have rights to or that are licensed for commercial use

Content Ownership

Retain ownership of your original content while granting platform license

IP Infringement Reports

Cooperate with IP infringement investigations and removal requests

FRAUD & MISCONDUCT

Fraudulent Activities

TERMINATION

Termination by OlaBey

ShopLanka may suspend or terminate Seller accounts under the following circumstances:

Legal Violations

Customer Complaints

Account Inactivity

Termination by Seller

Voluntary Closure

Sellers may close their shop at any time by submitting a closure request through their seller dashboard.

Closure Process:
  1. Submit closure request through seller portal
  2. Complete all pending orders and refunds
  3. Resolve any outstanding disputes
  4. Receive final payout of remaining balance
  5. Account officially closed after 30-day cooling period

Consequences of Termination

Payout Hold

Final payouts may be held for 60 days to cover potential refunds

Listing Removal

All active listings will be removed from the platform

Access Revocation

Seller access to the platform will be immediately revoked

Data Retention

Transaction records will be retained as required by law

LIABILITY LIMITATIONS

Important Disclaimer

ShopLanka operates as a marketplace platform connecting buyers and sellers. We are not a party to transactions between buyers and sellers.

Sellers operate as independent businesses, and OlaBey's role is limited to providing the platform infrastructure and payment processing services.

OlaBey is Not Liable For:

Seller Mistakes or Delays

Errors in listings, pricing mistakes, delivery delays, or service failures by sellers

Product/Service Failures

Defective products, poor service quality, or items not as described

Customer Misunderstandings

Miscommunication between buyers and sellers or incorrect expectations

Business Losses

Lost profits, business opportunities, or revenue losses experienced by sellers

Third-Party Service Failures

Issues with delivery services, payment processors, or other third-party providers

Seller Independence

Sellers operate independently on the OlaBey platform. This means:

  • Sellers set their own prices, policies, and terms
  • Sellers are responsible for product quality and customer service
  • Sellers handle their own inventory management and order fulfillment
  • Sellers are responsible for compliance with all applicable laws
  • Sellers maintain their own business records and tax compliance

Seller Responsibilities

Responsible Data Handling

Sellers must handle customer data responsibly and only use it for legitimate order fulfillment purposes.

Data Minimization

Collect and retain only the customer data necessary for transaction completion.

Data Security

Implement appropriate security measures to protect customer data in your possession.

Prohibited Data Uses

Personal customer data must NOT be used for:

External Marketing

Sending promotional materials outside the OlaBey platform without explicit consent

Third-Party Sales

Selling, sharing, or transferring customer data to third parties

Harassment or Spam

Using customer contact information for harassment or unsolicited communications

Unauthorized Storage

Storing customer data beyond the necessary retention period

Data Breach Notification

In the event of a data breach involving customer information:

  1. Sellers must immediately notify OlaBey
  2. Cooperate with investigation and mitigation efforts
  3. Take immediate steps to secure affected data
  4. Comply with legal notification requirements

GOVERNING LAW

Applicable Law

This Seller Agreement is governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law principles.

Jurisdiction

Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Colombo, Sri Lanka.

Dispute Resolution

Parties agree to attempt to resolve disputes amicably through negotiation before resorting to legal proceedings.

International Sellers

For international sellers operating from outside Sri Lanka:

  • You agree to submit to the jurisdiction of Sri Lankan courts
  • You are responsible for compliance with local laws in your country
  • All transactions are subject to Sri Lankan law regarding marketplace operations
  • You may need to seek local legal advice regarding cross-border operations
